Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement ("Agreement") govern your access to and use of the Quick AI Chat application and related services (collectively, the "Service"), provided by Quick Global Infotech Bilişim ve Sanayi Ticaret A.Ş. ("Provider", "we", "us"). By installing the Service from the Bitrix24 Marketplace or by otherwise accessing or using it, you ("Customer", "you") agree to be bound by this Agreement.
1. Definitions
- Service — the Quick AI Chat application, including its web panel, Bitrix24 integration, WhatsApp connectors (Cloud API, WhatsApp Business API, WhatsApp Web), AI reply features, and all related updates.
- Subscription — the monthly or annual paid plan that grants you access to the Service.
- Customer Data — any data you upload or transmit through the Service, including WhatsApp messages, contacts, templates, and Bitrix24 CRM records.
- End Customer — the individual with whom you communicate via WhatsApp using the Service (your customer / lead / contact).
2. License Grant
Subject to your compliance with this Agreement and timely payment of applicable fees, Provider grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your internal business purposes during the Subscription term.
This license covers only the Service itself. The underlying software, source code, trademarks, and documentation remain the exclusive property of Provider.
3. Account Registration
- You must be at least 18 years old and authorized to enter into this Agreement on behalf of your organization.
- You must provide accurate, complete, and current information during registration and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
- You must notify us immediately at info@quickinfotech.tr of any unauthorized use or security breach.
4. Acceptable Use
You agree not to use the Service:
- To send spam, unsolicited bulk messages, or any content that violates Meta's WhatsApp Business Messaging Policy, the WhatsApp Business Solution Terms, or Bitrix24's Acceptable Use Policy.
- To transmit unlawful, defamatory, harassing, threatening, discriminatory, obscene, or otherwise objectionable content.
- To infringe on any third party's intellectual property, privacy, or other rights.
- To engage in fraud, phishing, deceptive practices, or any activity prohibited by applicable law.
- To reverse engineer, decompile, disassemble, or attempt to derive source code, except where such restrictions are prohibited by applicable law.
- To resell, sublicense, or otherwise commercially exploit the Service without Provider's prior written consent.
- To send messages to End Customers who have not provided the consent required by WhatsApp, KVKK, GDPR, or other applicable privacy laws.
- To use automated scripts, bots, or scrapers in a way that places undue load on Provider's infrastructure or circumvents rate limits.
Provider may suspend or terminate accounts that violate these rules without refund for the affected period.
5. Third-Party Services
The Service integrates with the following third-party platforms, which are governed by their own terms:
- Meta / WhatsApp — you are responsible for maintaining your own WhatsApp Business Account and for complying with Meta's terms and policies.
- Bitrix24 — you must have a valid Bitrix24 portal (cloud or self-hosted). Bitrix24's own terms govern your use of that portal.
- AI Providers (OpenAI, Google Gemini, Anthropic, DeepSeek) — optional. If enabled, you must provide your own API key and comply with that provider's terms. Provider is not responsible for the content or accuracy of AI-generated responses.
Provider is not liable for downtime, policy changes, or service disruptions caused by these third parties.
6. Subscription, Fees & Payment
- Subscription fees are stated on the Bitrix24 Marketplace listing and/or on the Provider's pricing page.
- Monthly subscriptions renew automatically each month unless cancelled. Annual subscriptions renew each year unless cancelled at least 7 days before renewal.
- Fees are invoiced in the Customer's chosen currency. Turkish VAT and other applicable taxes are added where required by law.
- Non-payment or failed payment may result in suspension or termination of the Service after a grace period of at least 7 days.
7. Cancellation & Refunds
In accordance with Turkish Law No. 6502 on the Protection of the Consumer and the Distance Sales Regulation (OG: 27.11.2014 / 29188), Customers have a 14-day right of withdrawal from the date the Subscription begins.
- Within 14 days: You may cancel your Subscription and receive a full refund by emailing info@quickinfotech.tr with your account email and cancellation request. Refunds are processed within 10 days of receipt of the cancellation notice, consistent with Provider's cancellation and refund policy.
- Exception (service already started): If the Service has been materially used — for example, outgoing messages have been sent through the Customer's connected WhatsApp number — the right of withdrawal may not be exercised, as permitted under Article 15(ğ) of the Distance Sales Regulation (services fully performed with the consumer's consent before the end of the withdrawal period).
- After 14 days: Subscriptions are non-refundable for the current billing cycle. For annual plans, we may at our sole discretion offer pro-rata credit for future months. You may cancel auto-renewal at any time to prevent further charges.
- Uninstalling the App: Uninstalling the Quick AI Chat app from your Bitrix24 portal does not automatically cancel your Subscription. You must request cancellation in writing.
8. Customer Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and retain personal data.
- You retain ownership of all Customer Data.
- You grant Provider a limited license to process Customer Data solely to operate, maintain, and improve the Service.
- You are responsible for ensuring you have a lawful basis to collect and share End Customer data via the Service (consent, contract performance, etc.).
- Provider does not sell Customer Data and does not use message content to train general-purpose AI models.
9. Service Level & Availability
Provider aims to maintain a high level of Service availability but does not warrant uninterrupted or error-free operation. Scheduled maintenance windows will be announced in advance when feasible. Transient outages caused by Meta, Bitrix24, or other third parties are outside Provider's control.
10. Intellectual Property
All rights, title, and interest in and to the Service (including software, design, documentation, trademarks, and logos) are and remain the exclusive property of Provider and its licensors. No rights are granted except those expressly stated in this Agreement.
Feedback, suggestions, or improvement ideas you submit may be used by Provider without any obligation or compensation to you.
11. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. THE FOREGOING DOES NOT LIMIT ANY MANDATORY CONSUMER RIGHTS UNDER APPLICABLE LAW.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Provider's total aggregate liability arising out of or relating to this Agreement shall not exceed the total fees paid by Customer to Provider in the twelve (12) months preceding the event giving rise to the claim.
Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, even if advised of the possibility of such damages.
Nothing in this Agreement limits liability that cannot be excluded under applicable law (including mandatory consumer protection laws in Türkiye).
13. Indemnification
You agree to defend, indemnify, and hold harmless Provider and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of this Agreement; (b) your violation of any third-party rights; (c) your misuse of the Service; or (d) messages sent by you to End Customers without proper consent.
14. Term & Termination
- This Agreement remains in effect while you have an active Subscription or account.
- Either party may terminate this Agreement at any time for convenience with written notice. Termination does not entitle you to a refund except as stated in Section 7.
- Provider may terminate or suspend the Service immediately, without notice, for material breach of this Agreement (including violation of Section 4) or for non-payment.
- On termination, your right to use the Service ceases. Customer Data will be handled per the retention rules in our Privacy Policy.
15. Changes to the Service or Agreement
Provider may modify the Service and this Agreement from time to time. Material changes to this Agreement will be announced in the Service and by email at least 14 days before they take effect. Continued use of the Service after the effective date of a change constitutes your acceptance of the updated Agreement.
16. Governing Law & Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict-of-laws principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the Istanbul (Anadolu) Courts and Enforcement Offices, without prejudice to any mandatory consumer rights that allow you to bring proceedings in your country of residence.
17. Miscellaneous
- Entire Agreement: This Agreement, together with the Privacy Policy and the Bitrix24 Marketplace listing, constitutes the entire agreement between the parties regarding the Service.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
- Assignment: You may not assign or transfer this Agreement without Provider's prior written consent. Provider may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, internet outages, acts of third-party providers (Meta, Bitrix24), or government action.
- Language: This Agreement is executed in English. A Turkish courtesy translation may be provided; in case of conflict, the English version prevails, except where Turkish consumer law requires otherwise.
18. Contact
